The Role: Corporate & Securities Associate | Denver, CO
We are seeking a talented Corporate & Securities Associate to join a leading international law firm in its Denver, Seattle, or Portland offices. This role offers the opportunity to work on sophisticated corporate matters, collaborate with a dynamic team, and provide strategic counsel to clients across diverse industries.

In this position, you will:

  • Counsel public companies on SEC reporting obligations and compliance.
  • Advise clients on capital markets transactions, including IPOs, secondary offerings, and private placements.
  • Provide guidance on corporate governance matters, including board advisory and shareholder relations.
  • Represent clients in a variety of corporate matters, including mergers, acquisitions, and financings.
  • Collaborate with cross-disciplinary teams to provide innovative and strategic legal solutions tailored to client needs.

Ideal Candidate Profile

The firm is seeking a candidate who demonstrates:

Experience and Expertise

  • Years of Practice: Minimum of 3 years of experience in public company reporting, compliance, capital markets, and/or corporate governance.
  • Transactional Background: Familiarity with SEC filings, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.

Educational Credentials

  • Juris Doctor (JD): Degree from an accredited law school with excellent academic credentials.
  • Bar Membership: Active bar license in the state corresponding to the office location or eligibility to waive in.
