Position Title: Attorney (IT Software Contracts & Vendor Agreements)

Location: Remote (USA)

Duration: 6+ Months (Contract, with potential for extension)

Job Overview:

We are seeking a highly skilled Attorney with experience in IT software contracts, vendor agreements, and contract negotiation. The ideal candidate should have a strong background in reviewing and assessing contracts for risk, with a focus on service and consultant agreements. Experience with international contracts, particularly in the UK, Asia, or Poland, is highly preferred.

Key Responsibilities:

• Contract Review & Negotiation:
  • Review, draft, and negotiate service agreements, consultant contracts, IT software contracts, and vendor agreements.
  • Provide legal guidance on contract terms, including liabilities, indemnities, data privacy, and intellectual property.

• Risk Assessment & Compliance:
  • Conduct risk assessments on IT software contracts, identifying key legal and business risks.
  • Ensure compliance with international regulations such as GDPR, CCPA, and data protection laws in the UK, Asia, and Poland.

• Vendor & External Negotiations:
  • Lead contract negotiations with service providers, vendors, and consultants to ensure favorable terms and mitigate risks.
  • Provide strategic legal support in vendor agreements and consultant contracts.

• Legal Advisory & Documentation:
  • Provide legal advice on IT software licensing, service agreements, and vendor relationships.
  • Draft and maintain contract templates to ensure consistency and compliance across all agreements.

Qualifications & Experience:

• Juris Doctor (JD) degree or equivalent legal qualification.
• Admission to the Bar in at least one state (preferably where the role is based).
• Additional certifications in IT law or contract law (e.g., Certified Information Privacy Professional (CIPP), Certified Technology Specialist (CTS)) are a plus.
• Strong academic background in business law, intellectual property law, or technology law will be beneficial.
• 5+ years of experience in contract law, with a focus on IT software contracts, vendor agreements, and service/consultant agreements.
• Extensive experience in contract review and risk assessments.
• Familiarity with international contract law and compliance in the UK, Asia, and Poland.
